Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you ("Contractor," "you," or "your") and ElecPro ("ElecPro," "we," "us," or "our") governing your access to and use of the ElecPro platform, including the web application, API, and any related services (collectively, the "Service").
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are registering on behalf of a business entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.
2. Eligibility
The Service is designed for licensed electrical contracting businesses and their employees operating in the United States. You must be at least 18 years of age and legally permitted to operate a business in your jurisdiction. We reserve the right to refuse service to any entity at our sole discretion.
3. Accounts and Security
When you register, you will receive a unique company login code. You are responsible for keeping your credentials — including your login code, email address, and password — confidential. You are solely responsible for all activity that occurs under your account.
You agree to notify us immediately at [email protected] if you believe your account has been compromised. We are not liable for any loss arising from unauthorised use of your credentials.
Each account is provisioned to a single company. You may add team members (technicians) under your company account. You remain responsible for all users operating under your company login code.
4. Beta Access, Subscription and Billing
Beta period. The Service is currently offered as an invite-only beta. During the beta period it is provided free of charge: no subscription fees are payable, we do not collect a payment method from you, and nothing in this section obliges you to pay until we notify you that the beta has ended. We will give at least 30 days' written notice before any fees begin, and you may cancel at any point before then without charge.
Beta software is unfinished by nature. Features may change, be added, or be withdrawn without notice; the Service may be unavailable or behave unexpectedly; and we may discontinue the beta entirely. The disclaimers in section 10 and the limitation of liability in section 11 apply with particular force during the beta period. Please keep independent records of business-critical information and do not rely on the Service as your only copy.
Once the beta ends, the Service is offered on a subscription basis. Your subscription tier is determined by the number of active users in your company account:
- Tier 1 — 1 to 5 users
- Tier 2 — 6 to 15 users
- Tier 3 — 16 to 25 users
Once fees apply, subscription fees are billed in advance on a recurring basis. Payment is processed through Stripe. By providing a payment method you authorise us to charge it for all applicable fees. All fees are non-refundable except where required by law.
We may modify pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Stripe Connected Account
To accept online payments from your clients through ElecPro, you must connect a Stripe Express account. By connecting Stripe, you agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. We are not a party to transactions between you and your clients; Stripe processes those payments directly. We are not responsible for payment disputes, chargebacks, or Stripe account actions.
Payments are made as direct charges to your own Stripe account. Funds move from your client to you without passing through any ElecPro account or balance, and we do not deduct a platform fee from them. You are the merchant of record for every transaction you accept.
Your identity, tax and banking information — including bank account and routing numbers, Social Security or Employer Identification Numbers, and any identity documents — is collected and held by Stripe, not by us. Your clients' card details are entered on a Stripe-hosted payment page. ElecPro never receives, transmits, or stores cardholder data or your payout credentials. What we store is the amount, date and status of each payment, so that your invoices and reporting stay current.
Because payment status reaches us through Stripe's webhooks, records in ElecPro may briefly lag Stripe, and delivery failures or service interruptions may delay them further. Stripe is the authoritative record of what you have been paid. You are responsible for reconciling your books against Stripe, and we recommend doing so before relying on ElecPro reporting for tax or accounting purposes.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable regulations
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Resell, sublicense, or provide access to the Service to third parties outside your company
- Use automated tools to scrape, crawl, or systematically download data from the Service
- Interfere with or disrupt the integrity or performance of the Service
7. Your Data
You retain full ownership of all data you upload or input into the Service, including client records, job details, invoices, photos, and financial information ("Your Data"). We do not claim any ownership rights over Your Data.
You grant us a limited licence to store, process, and transmit Your Data solely as necessary to provide and improve the Service. We will not sell Your Data to third parties or use it for advertising purposes.
You are responsible for ensuring you have the legal right to upload any data, including your clients' personal information, and that doing so complies with applicable privacy laws.
8. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free access. The Service is provided on an "as is" and "as available" basis. We may perform scheduled maintenance that temporarily affects availability. We will make reasonable efforts to provide advance notice of planned downtime.
9. Intellectual Property
The ElecPro platform, including its software, design, trademarks, and content (excluding Your Data), is owned by ElecPro and protected by applicable intellectual property laws. These Terms do not grant you any rights in our intellectual property beyond the limited right to use the Service as described herein.
10. Disclaimer of Warranties
To the fullest extent permitted by law, ElecPro disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service is free of harmful components. You use the Service at your own risk.
11. Limitation of Liability
To the fullest extent permitted by applicable law, ElecPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to ElecPro in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (US$100). This floor applies during the beta period and at any other time when no fees have been paid.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of incidental or consequential damages, so parts of sections 10 and 11 may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless ElecPro and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Data, your violation of these Terms, or your violation of any third-party rights.
13. Termination
You may cancel your account at any time by contacting us at [email protected]. Upon cancellation, your access to the Service will end at the close of your current billing period.
We may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, or if we determine in our sole discretion that continued access poses a risk to other users or the integrity of the Service. We will provide notice where reasonably practicable.
Following termination, we will retain Your Data for 30 days during which you may request an export. After that period, Your Data is deleted from our active production systems, subject to legal retention requirements.
We take encrypted database backups on a rolling schedule for disaster recovery. Residual copies of deleted data may persist in those backups after removal from active systems, and are erased when the backups containing them expire under our standard retention cycle. We do not restore deleted data from backups except as part of recovering the Service as a whole.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Nebraska, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be seated in Nebraska, before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction.
Either party may instead bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or other equitable relief in the state or federal courts located in Nebraska for matters involving intellectual property or unauthorised access to the Service, and both parties consent to the personal jurisdiction and venue of those courts for that purpose.
Disputes are resolved on an individual basis. Neither party may bring a claim as a plaintiff or class member in a class, collective, or representative proceeding. If this paragraph is found unenforceable as to a particular claim, that claim shall proceed in the Nebraska courts identified above rather than in arbitration.
16. Assignment
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. Any attempted assignment in breach of this section is void.
We may assign these Terms, in whole or in part, without your consent to an affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets or of the business line to which the Service relates. We will notify you of any such assignment. These Terms bind and benefit the parties and their permitted successors and assigns.
17. Severability, Survival and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Sections 7 (Your Data), 9 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 15 (Governing Law and Dispute Resolution), and this section survive any termination or expiry of these Terms.
Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, form the entire agreement between you and ElecPro regarding the Service and supersede any prior understandings on that subject. They do not affect your separate agreement with Stripe.
